The Shareholders’ Meeting of Arnoldo Mondadori Editore S.p.A. held on 27 April 2017 approved the amendment of article 7 of the Bylaws, providing for the introduction of the increased voting rights referred to in article 127-quinquies of Legislative Decree no. 58 of 24 February 1998, as subsequently amended and supplemented. This introduction favours a long-term approach to investment and gives shareholders who intend to be permanent members of the company a greater say in its decisions.
The institute of increased voting rights was introduced by Law Decree no. 91/2014, converted with amendments by Law 116/2014.
The Bylaws envisage that two votes are attributed for each share held by the Shareholder who has requested to be registered in a special List – kept and updated by the Company – and who has maintained it for a continuous period of not less than 24 months from the date of registration in said List.
